General Terms

The contract between Responseo Ltd and the client is based on these conditions, excluding all other terms unless agreed in writing. The work to be carried out will be detailed in the Responseo Ltd invoice attached to the confirmation order email. Responseo Ltd reserves the right to cancel a contract without refund in the event of harassment or inappropriate conduct towards its employees, requiring further communication via postal mail only.

Legalities, Copyright, and Intellectual Property

Responseo Ltd expects clients to conduct sufficient research to ensure their website operates legally. Clients must ensure all supplied images or content are legally usable. Responseo Ltd is not responsible for illegal use of images or content provided by the client and reserves the right to remove any website from its servers suspected of illegal operation. Images purchased by Responseo Ltd for the client are limited to 15 per project and are restricted for use on the website only. The client owns the website design and development upon final payment. Third-party software may be covered by its own licence, purchased by Responseo on behalf of the client. Responseo Ltd makes no claims regarding the legality of viewing or downloading the project outside England and Wales. The terms and conditions are governed by English law, and jurisdiction for any claims shall lie with the courts of England. If any provision is found invalid, the remaining provisions shall remain in full effect. Responseo Ltd is not responsible for any adverse effects on the client’s business operation, sales, or profitability resulting from its services.

Communication

Email is the primary method of contact for project communication. Clients must inform Responseo Ltd of any changes to their email address. Responseo Ltd is not liable for communication issues if not provided with a valid email address. Clients should regularly check their junk and spam folders. Lack of client contact for more than 2 weeks after receiving a draft will lead to the project being considered complete after five failed contact attempts. Postponing the project for more than 2 weeks requires prior notice, or a £100 administration fee may apply. If a client returns after more than 6 months of unapproved postponement, a new quotation is needed, and the original payment is non-refundable or transferable.

Payment Terms

Payment terms for projects or services are detailed in the confirmation order email. Responseo Ltd retains ownership of all projects, including images and text, until full payment is received. All payments are non-refundable. Clients must provide at least one month’s notice to cancel a service, or the next month’s invoice becomes due.

Website Design and Development

Responseo Ltd offers unlimited design revisions until the client accepts the design proposal and home page draft. Subsequent design changes are subject to additional charges. Internal page design changes are restricted by the platform used (e.g., WordPress, Magento, Opencart). Expected completion timeframes can be provided upon request, with access to the ‘Project Cycle’ documentation for client awareness of their responsibilities. Open Source Software (OSS) may be used for development, with ownership of site coding and customisations passed to the client upon final payment. Responseo Ltd is not responsible for the website’s search engine ranking or potential downtime affecting ranking.

Web Hosting

Clients will be advised if hosting is included in the website design service. Web Hosting is limited to 1000mb of space unless otherwise stated. Web Hosting is renewable annually, with renewal charges due within 10 days of the expiry date. Responseo Ltd reserves the right to deactivate websites with expired hosting and charge a reactivation fee. If clients do not use Responseo Ltd Web Hosting, they are responsible for domain name management. Non-renewed hosting will lead to website deletion after 3 months. Free SSL is offered with Responseo hosting packages, with SSL provided via letsencrypt.org. Alternative SSL providers can be recommended if necessary, subject to additional charges. Web Hosting payments are non-refundable and non-transferable. DDoS protection is provided via Cloudflare Inc., but Responseo Ltd is not liable for DDoS attacks. Website rank on search engines is not guaranteed.

Website Content and Products

Clients may opt for the Responseo Ltd Content Writing package at an additional charge. If not, all content must be provided in a Microsoft Word document within 4 weeks of design approval. Delays in content provision will lead to the website going live with dummy text and full payment collection. Clients must upload products to ecommerce sites themselves using the provided CMS, or Responseo Ltd can do so for a fee. Delays in content or product provision will not delay the website project, and payment may become due.

Logo Creation

Responseo Ltd offers logo creation services, including company name and strap line. Limited design changes are included, with additional changes subject to a premium logo service fee.

Support

Support is available between 9.00am and 5.30pm Monday – Friday, excluding bank holidays. Responseo Ltd will address website issues not caused by the client within a reasonable time. Email account setup instructions are provided for supported devices, but phone or email support for these devices is not available.

Content Creation

Responseo Ltd offers unlimited text content revisions until client approval. Changes beyond this point are subject to additional charges. Expected completion timeframes for content creation can be provided upon request. Text content is provided on a per-page basis as agreed in the invoice.

Legal Documents

Uploading of privacy policies, general website terms, or other legal documents by Responseo Ltd incurs additional charges. Clients are advised to have these documents independently reviewed by a legal professional. General usage terms are offered, with bespoke services available if required.

SEO

Text content created by Responseo Ltd considers SEO but is not guaranteed to increase website ranking. Responseo Ltd is not liable for the website’s performance in search engines.

Domain Names and Links

Domain names registered by Responseo Ltd on behalf of clients remain the legal property of the client. Changes or transfers of domain details will be processed within a reasonable timeframe. Responseo Ltd provides links to client websites for prospective customers but does not guarantee their accuracy. A small footer link to Responseo Ltd’s website will be included, removable upon request.

Video Animation and Videos

Responseo Ltd creates videos as per invoice details, with 100% upfront payment. Pre-created video content may be used, with up to 5 revisions allowed during creation. Additional changes after sign-off incur charges. Voice-over may use simulated human voices. Videos are uploaded to Responseo Ltd’s YouTube channel for digital use.
